Imagine that Bob owns a fruit store and sells a large batch of apples to Alice on credit, with the agreement that Alice will pay for the goods after delivery. After delivering the apples, Bob retains the right to hold onto them until he's paid (right of lien). If Alice fails to pay on time, Bob is worried the apples will spoil, as they are perishable goods.

Bob notifies Alice of his intent to re-sell the apples if she doesn't pay promptly. Alice still doesn't pay, so Bob re-sells the apples to Carol within a reasonable time...
