Explanation using Example

Imagine Sarah, a partner at a Limited Liability Partnership (LLP) named "QuickTech Solutions LLP," recently got married and decided to change her last name. According to Section 25(1) of the Limited Liability Partnership Act, 2008, Sarah is required to inform QuickTech Solutions LLP of her name change within fifteen days.

Following this, QuickTech Solutions LLP must then file a notice of the change in Sarah's name with the Registrar within thirty days as per Section 25(2)(ii). This notice needs to be signed by a designated partner and include the appropriate fee and form as mentioned in Section 25(3).

If QuickTech Solutions LLP fails to file this notice within the specified time frame, both the LLP and its designated partners could face a penalty of ten thousand rupees according to Section 25(4). Similarly, if Sarah fails to inform the LLP about her name change, she could also be penalized under Section 25(5).

Additionally, if Sarah were to leave QuickTech Solutions LLP and had reason to believe that the LLP might not file the notice of her departure, she could file the notice herself with the Registrar to ensure her dissociation from the LLP is formally recorded, as described in Section 25(6).
