Imagine a scenario where a company, XYZ Pvt Ltd, was required to file a particular form with the Registrar of Companies (ROC) detailing changes in the directorship within 30 days of the change, as mandated by the Companies Act. However, due to an oversight, the company failed to file the form within the stipulated time frame.
In this situation, under Section 460 of the Companies Act, 2013, XYZ Pvt Ltd can apply to the Central Government explaining the reasons for the delay in filing. If the Central Government finds the reasons justifiable, it may condone the delay and allow the form to be filed after the deadline, thus preventing any penalties or legal issues that might have arisen from the non-compliance.
