Explanation using Example
Imagine that XYZ Pvt. Ltd. is holding its Annual General Meeting (AGM) to discuss the annual financial statements. According to Section 146 of The Companies Act, 2013, the company must send a notice of the AGM to its auditor. The auditor, in turn, is expected to attend the AGM. At the meeting, when the financial statements are discussed, the auditor has the right to speak and provide clarification from an audit perspective, if there are any queries or concerns raised by the shareholders. If the auditor cannot attend, they may send a qualified representative in their place to fulfill this obligation.
