Explanation using Example
Imagine Sarah and Raj decide to start a software development company named "InnovTech Solutions Pvt. Ltd." They file the necessary documents with the Registrar of Companies (RoC) and receive their certificate of incorporation on April 1, 2023. From this date, according to Section 9 of the Companies Act, 2013, Sarah, Raj, and anyone else who joins as a member of the company become a single entity known as "InnovTech Solutions Pvt. Ltd." This entity can now legally own property, enter into contracts, and sue or be sued in its company name. For instance, if InnovTech Solutions decides to purchase a new office space, it will do so under the company's name, and the property will be owned by the company, not by Sarah or Raj individually.
